Affiliate Program - Terms and Conditions

1. Enrolment in the Program

1.1 Application & Approval

  • To join the Darker Apparel Affiliate Program, you must submit an application through our affiliate platform.
  • We reserve the right to approve or reject applications at our sole discretion.

1.2 Eligibility

  • Applicants must be at least 18 years old.
  • We do not accept affiliates promoting illegal, offensive, or inappropriate content.
  • Have a valid and current ABN/ACN (If Australia-based) 

2. Affiliate Responsibilities

2.1 Promotion Guidelines

  • Affiliates may promote Darker Apparel using their unique affiliate link on websites, social media, email marketing, and other approved channels.
  • False or misleading claims about our products are strictly prohibited.
  • Spamming or using unethical marketing tactics will result in immediate termination.

2.2 Brand Representation

  • Affiliates must follow our branding guidelines and avoid unauthorised modifications of our logos, images, or content.
  • Any promotions must align with our brand values of empowerment, discipline, and progress.

3. Commission & Payments

3.1 Commission Structure

  • Affiliates earn a 10% commission on valid sales made through their unique affiliate link.
  • Commissions are based on the final sale amount, excluding taxes, shipping fees, and discounts.

3.2 Payment Terms

  • Payments are made monthly via [PayPal, bank transfer, or another method].
  • A minimum payout threshold of 25 AUD/USD/GBP/NZD must be met before payment is issued.
  • Affiliates are responsible for providing correct payment details. Darker Apparel is not liable for failed transactions due to incorrect information.

3.3 Refunds & Chargebacks

  • If a customer requests a refund or initiates a chargeback, the corresponding commission will be deducted from future payouts.

4. Taxes & Compliance

4.1 Australian Affiliates

  • Affiliates based in Australia must provide an ABN (Australian Business Number) if applicable.
  • If no ABN is provided, Darker Apparel may be required to withhold 47% PAYG tax, unless a Statement by a Supplier form is submitted.

4.2 International Affiliates

  • Affiliates outside Australia are responsible for complying with their local tax laws.
  • Darker Apparel does not handle tax withholding for non-Australian affiliates.

5. Termination & Modification

5.1 Termination by Either Party

  • Affiliates may terminate their participation at any time by notifying Darker Apparel in writing.
  • Darker Apparel reserves the right to terminate any affiliate at its discretion for violating these terms.

5.2 Modification of Terms

  • We may update these terms at any time, with reasonable notice provided via email or our affiliate dashboard.
  • Continued participation in the program after changes constitute acceptance of the revised terms.

6. Liability & Disclaimers

  • Darker Apparel is not liable for indirect, incidental, or consequential damages arising from the affiliate’s participation in the program.
  • We do not guarantee specific earnings or results from the affiliate program.
